HELP - Phantom dial outs

Ever since we upgraded to ver 2.3.2, I've been seeing a process
running that I don't start.  When I do a ps -ef and the process is
running, I see:
     sh -c PATH=(path stuff) /usr/lib/uucp/dial -hx0 tty3[a-d] 2400
The PPID is always set to 0.  Problem is, I'm not starting the process
in any form, at least, not that I'm aware of.  I can't find anything
in my cron tabs, uucp files, etc that would kick this off.  And, there
dosn't seem to be any pattern to the times it starts.  The process
only lasts 1 minute or so. However, it can garbage my modem - and does
about half the time.
I'm starting to suspect that anytime uux is run, that somehow it
triggers this routine.  uux seems to run when sendbatch runs or
someone is sending rmail.  This is the last "bug" that needs fixing...
Anyone else notice this happening on their system?
